1. Introduction
Welcome to ShippingRefunds ("we," "our," or "us"), operated by ShippingRefunds, a Canadian business accessible at shippingrefunds.ca. These Terms of Service ("Terms") govern your access to and use of our website, platform, and services (collectively, the "Service"). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, you may not use the Service.
2. Description of Service
ShippingRefunds provides an automated shipping refund recovery service. We audit your shipping history, identify late deliveries and billing errors eligible for carrier refunds, and submit claims on your behalf. The Service is designed to help businesses recover money owed to them by shipping carriers.
3. Account Access and Carrier Credentials
To use the Service, you must provide valid login credentials for your shipping carrier account(s). By providing these credentials, you authorize ShippingRefunds to access your carrier account solely for the purposes of auditing shipment data, identifying refund-eligible shipments, and submitting refund claims on your behalf. You represent and warrant that you have the authority to grant this access and that doing so does not violate any agreement between you and your carrier.
4. Fees and Payment
ShippingRefunds charges a service fee of 30% of all refunds successfully recovered on your behalf. No fees are charged if no refunds are recovered. Fees are calculated based on the refund amount credited to your carrier account. We reserve the right to modify our fee structure with 30 days' prior written notice.
5. No Guarantee of Results
While we make commercially reasonable efforts to identify and recover refunds, we do not guarantee any specific refund amount or that any particular claim will be successful. Carrier refund policies, eligibility criteria, and processing timelines are determined solely by the carriers and are outside our control. Past performance is not indicative of future results.
6. User Responsibilities
You agree to: (a) provide accurate and complete information when creating your account; (b) maintain the security of your account credentials; (c) promptly notify us of any unauthorized use of your account; (d) ensure your carrier account credentials remain valid and up to date; and (e) comply with all applicable laws and regulations in connection with your use of the Service.
7. Intellectual Property
All content, features, and functionality of the Service, including but not limited to text, graphics, logos, software, and technology, are the exclusive property of ShippingRefunds and are protected by Canadian and international intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from any part of the Service without our prior written consent.
8. Limitation of Liability
To the maximum extent permitted by applicable law, ShippingRefunds and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or related to your use of the Service. Our total aggregate liability for any claims arising from or related to the Service shall not exceed the total fees paid by you to ShippingRefunds in the twelve (12) months preceding the claim.
9. Disclaimer of Warranties
The Service is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or completely secure.
10. Account Termination
Either party may terminate the account at any time. You may cancel your account by contacting us at [email protected]. We reserve the right to suspend or terminate your account if we reasonably believe you have violated these Terms, provided false information, or engaged in fraudulent activity. Upon termination, any outstanding fees for refunds already recovered remain due and payable.
11. Indemnification
You agree to indemnify, defend, and hold harmless ShippingRefunds and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or related to your use of the Service, your violation of these Terms, or your violation of any rights of a third party.
12. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any disputes arising from or related to these Terms or the Service shall be resolved in the courts located in Ontario, Canada.
13. Changes to Terms
We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of the Service after such changes constitutes acceptance of the revised Terms.
